Nicole R. Taylor

Nicole Taylor is a Senior Associate in the Business Law Department and the Tax Practice Group in the Firm’s Dallas office. Ms. Taylor’s practice focuses primarily in business law, tax, non-profit and trusts and estates. Ms. Taylor has experience representing business entities ranging from “start-ups” to established companies, including commercial real estate development groups, technology companies, community development corporations and nonprofit institutions, on a variety of matters.

Ms. Taylor provides a full range of corporate advice and services to clients, including organizing and structuring business entities (corporations, limited liability companies, partnerships, and joint ventures), bank and corporate financing, and preparation and negotiation of shareholder and partnership agreements, technology and other licensing agreements and distribution agreements.

Ms. Taylor has over eight years experience in a varied tax practice representing a wide range of clientele in matters involving federal, state and local tax controversies, tax and estate tax planning, exempt organizations, transactional tax and general tax and business planning for individuals and closely held entities. Her experience further includes tax representation of corporations and individuals in the negotiation of tax settlements in collection matters, audits, and appeals with federal, state and local tax authorities.

Ms. Taylor serves as General Counsel for non-profit and charitable organizations, specifically in the areas of corporate governance, real estate transactions and negotiation of commercial transactions on behalf of the organization. In addition, to the counsel duties, she has extensive background in counseling tax-exempt, nonprofit and charitable organizations in the incorporation process and filing of request for tax exemption from federal, state and local agencies.

Ms. Taylor’s trust and estates practice includes the full range of estate planning, including drafting of wills, trusts and powers of attorney. Her experience further includes preparation and review of trust and estate tax filings.
